What are Articles of Amendment?

This is the name of the document that you must file with the state in order to update your official company information. Some states may call it a “Certificate of Amendment” or “Certificate of Change.” You are required to keep the information you provided when you initially formed your business up to date with your state office. You can find this information in your initial filing document, usually called Articles of Organization or Articles of Incorporation.

What information must be kept up-to-date?

If you own an LLC, then you can review your information filed with the state in your Articles of Organization. If you own a corporation, then you will review your Articles of Incorporation. These documents may have a different name in your state.

The following items commonly need to be updated:

  • The name and principal address of your business
  • The name and address of your registered agent
  • The names of the owners, managers, or officers
  • The business purpose
  • Miscellaneous items
