Articles of Incorporation Georgia

To form a corporation in Georgia, you must file articles of incorporation. The form is customizable.

More information about corporate formation can be accessed through the website of the Georgia Corporations Division.

The articles of incorporation must include the following information:

  • Name of the corporation
  • Type of entity
  • Corporate mailing and street address
  • Name, street, and mailing address of the registered agent
  • Incorporator's name, street, and mailing address
  • The names and mailing addresses of the corporate directors
  • The number of shares* authorized by the corporation and their class, rights, and restrictions

*In Georgia, the state does not require you to disclose the par value of the stock. Par value is the price at which a company's shares are initially offered for sale.

Georgia is one of 17 states that recognize the statutory close corporation. A Georgia statutory close corporation is a corporation that has 50 or fewer shareholders. The articles of incorporation must contain a statement that the corporation is a statutory close corporation.

Mandatory Additional Filings

In addition to the articles of incorporation, Georgia requires new corporations to file Form 227 (a transmittal form) and a Public Notice of Incorporation. Information about the online filing procedure is available on this fact sheet by the Office of the Secretary of State.

You may file your articles of incorporation online.

The state statutes applicable to articles of incorporation set forth specific requirements and optional language that you may include when filing the document.
