To form a corporation in Alaska, you must file articles of incorporation with the Alaska Department of Commerce. The form is customizable.

The articles of incorporation must include the following information:

  • Name of the corporation
  • Type of entity
  • Street and mailing address of the corporation
  • A statement of corporate purpose
  • Name and address of the registered agent
  • The number of shares* authorized by the corporation
  • Incorporator’s name, street, and mailing address

The articles of incorporation can be filed online.

In Alaska, you must complete an Alien Affiliate disclosure providing the name and address of any non-citizen alien or verifying that there are no non-citizen aliens affiliated with the corporation. This disclosure is provided in the articles of incorporation form.

*In Alaska, the state does not require you to disclose the par value of the stock. Par value is the price at which a company's shares are initially offered for sale.

Mandatory Additional Filings

The names and addresses of incorporators must be provided on a separate contact form. The directors’ names and addresses do not need to be disclosed under state law.

Alaska does not require any additional filings. However, it is recommended that you file the articles of incorporation with the Initial or Biennial Report.
