Articles of Incorporation Utah

To form a corporation in Utah, you must file articles of incorporation. The form is customizable.

More information about corporate formation can be accessed through the website of the Utah Division of Corporations and Commercial Code.

The articles of incorporation must include the following information:

  • Name of the corporation
  • Type of entity
  • Corporate purpose
  • Corporate mailing and street address
  • Name, street, and mailing address of the registered agent
  • Incorporator’s name and address
  • The number of shares* authorized by the corporation and their class, rights, and restrictions

*In Utah, the state does not require you to disclose the par value of the stock. Par value is the price at which a company's shares are initially offered for sale.

Mandatory Additional Filings

The state statutes applicable to articles of incorporation set forth specific requirements and optional language that you may include when filing the document.

The articles of incorporation may be filed online.
